Company Overview

FutureWorld Energy, Inc., (OTC:FWDG) a Delaware corporation, is a U.S. Diversified Energy Holding Company which was formed to capitalize on the burgeoning markets in renewable and alternative energy technologies. FutureWorld Energy, together with its subsidiaries, will focus on the identification, acquisition, development, and commercialization of renewable and alternative energy technologies globally. Through established relationships with universities, research centers and government agencies, they strive to identify technologies on the leading edge of innovation that would contribute immensely to the global energy needs while protecting the future for everyone.

Future World Energy is seeking to acquire minority or full interest in currently operating companies and disruptive technologies in the Renewable and Alternative Energy Industry globally; such as BioFuel, Solar, Wind, Tidal, Power Cells and other green technologies. Their goal is to provide their acquired companies, current and future shareholders a clear strategy for the growth of their companies and their investment in those companies.

The last few years have been record years for the renewable energy industry in the United States. The development and sale of power from wind, solar, geothermal, biomass and other renewable sources in 2007 infused $20 billion into the U.S. economy and created tens of thousands of jobs. Renewable energy in the United States is growing at breakneck speed. Industry analysts say the rapid development of renewable energy has been driven by state policies that require renewables in the overall energy mix and by Federal and State tax credits that have contributed in lowering the production cost of renewable energy enterprises.

According to United Nations Department of Economic and Social Affairs, renewable energy including biomass, geothermal, hydropower, solar, wind, tidal, and wave offers tremendous benefits for meeting global energy needs. Building on a foundation of hydropower, biomass combustion, and geothermal power pioneered during the industrial revolution in the late 1800s, new forms of renewable energy began to be developed and commercialized, including solar, wind, and several forms of advanced bioenergy.

Our Companies

Futureworld Energy employs a business model geared towards maximizing value for their shareholders. They identify the potential acquisition, complete an extensive due diligence process and if all requisite factors meet their criteria, the acquisition is then secured.

Futureworld Energy targets technologies that are mature enough to provide an exit timeframe of one to three years. Recognizing the time to exit of each investment is therefore critical to their business model. A great deal of emphasis is paid to the due diligence process. Technologies are evaluated in terms of their usefulness, effectiveness, revenue potential and time to market.

Following successful evaluation, these companies/technologies are then acquired with a cash and/or stock deal, with Futureworld Energy usually holding a significant majority stake of the new entity.

To capitalize on the opportunities the technology offers, Futureworld Energy then begins the process of developing the technology/company with infrastructural and financial support. As the company continues in its measured growth pattern, Futureworld Energy positions it to either; enter the public arena, maintain the company as a wholly owned subsidiary, or sell the technology to gain a return.

The uniqueness of the Futureworld Energy business model is that it can reward the shareholder base in several ways. If the Futureworld Energy board of directors has determined that a company is ready to begin trading on its own, then all Futureworld Energy shareholders receive dividend shares in the new public entity as well as retaining their current stake in Futureworld Energy.

Moreover should the board of directors decide to sell the technology or company outright, Futureworld Energy shareholders would receive a cash dividend on the sale of the asset.

Finally, if the technology is better served to stay as a wholly owned component of Futureworld Energy, then revenues generated from this would be a direct income stream for Futureworld Energy thereby increasing shareholder value and capital strongholds for future acquisitions.

Recent Subsidiary Acquisition

SonnenTech

SonnenTech provides engineering, design, and implementation services for solar thermal, geothermal and cogeneration technologies. The company is based in the United States. As of August 18, 2010, SonnenTech operates as a subsidiary of FutureWorld Energy, Inc. FutureWorld acquired SonnenTech for approximately US $7.5M in Preferred Stock.

With governments throughout the world mandating the deployment of renewable energy in government buildings, hospitals and new construction, SonnenTech's technology will help to efficiently and cost effectively offer solutions for this market opportunity.

SonnenTech has formulated ways to keep their integrated solutions very affordable which leads to a payback period of a few years instead of decades.

According to the US DOE, heating water accounts for 70% of all energy used in commercial and residential structures in the US. Solar Thermal Energy production is the most cost efficient way to save energy.

With the acquisition of SonnenTech, FutureWorld will be pursuing a multi-level approach to the clean energy market. The initial application will be commercial grade Solar Thermal systems for hot water generation. Subsequent product offerings will include geothermal systems, including solar cooling and solar dehumidification components, and cogeneration systems.

FutureWorld also plans to launch an innovative system containing an absorption chiller with ice storage, for both commercial and residential buildings in the Sunbelt of the United States to take advantage of the substantial peak solar hours.

Investment Highlights

  • The only alternative energy solution available today that provides a less than 10 year return on investment to the buyer without government subsidies or incentives. When considered, the return to the customer is typically between 5 – 7 years.
  • New technology to the US, old and proven technology to the rest of the world. FutureWorld
Energy, Inc (“FWE”) integrates technology patented over 30 years ago by Daimler Aerospace in Germany. This technology is used throughout Germany, other parts of Europe, Asia and the Middle East.
  • FWE’s competitive advantage is product knowledge, knowledge how to integrate alternative
energy solutions to their full potential and thereby reduce an average building’s energy
    consumption by 70%.
  • Solar Thermal Energy combined with geothermal energy as well as using cogeneration units
supply the most efficient and economical methods of reducing our dependency of oil.
Combining alternative energy sources with optimal usage and energy savings through a
computer based control system make it an overall building solution
  • According to the US DOE, heating water accounts for 70% of all energy used in
commercial and residential structures in the US. Solar Thermal Energy production is a
most cost efficient way to save energy
  • Because of the efficiency of these solar thermal systems and the inherent cost advantage of the proven older technology vs. newer technologies, our overall cost of production of a kwh of energy is much lower than the common alternatives. Specifically, we typically see costs of production for our systems as;
    • $ 3 per watt for cooling
    • $ 2 per watt for space heating
    • $ 1 per watt (or less) for heating domestic hot water
  • Market for solar thermal energy is huge. Overall energy used in commercial, government,
industrial and residential buildings in the US equates to 29.1 Trillion kwh of energy or $ 2.9
Trillion. Focusing exclusively on the commercial and governmental sector of the total,
FutureWorld’s revenue market opportunity is 3.26 Trillion kwh of energy or approximately $ 326 Billion
  • Additionally, we have will add geothermal and cogeneration technologies to our product line for increasing efficiency and improving ROI for our customers. When appropriate, this integration improves overall efficiency and effectiveness and saves even more money for our client.
  • 3 Phase will be solar cooling using integrated absorption chillers with ice storage.
  • Use of solar thermal technology can be adjusted to the customer’s need. Any project can be started small and then it can be grown as needed. This modular capacity us a great advantage

Energy vs. Power

Where does your energy come from? Coal? Oil? Natural Gas? CNG? Propane? Hydroelectric? Nuclear? Solar? Electricity? If you said electricity, you are wrong!

According to Wikipedia, energy is defined as “a scalar physical quantity that describes the amount of work that can be performed by a force, an attribute of objects and systems that is subject to a conservation law. Different forms of energy include kinetic, potential, thermal, gravitational, sound, light, elastic, and electromagnetic energy.” It is a common misconception that electricity is energy, however, this simply is not true. Electricity is power generated by converting one of the natural forms of energy into power. Similarly, when one mentions kilowatt hour (“kwh”), the typical response is that kwh is a measure of electricity. Unfortunately, this is another misconception. Kwh is the basic measure of all types of energy, whether referring to horsepower, btu’s, therms, R factors, or any other term commonly used. The important point is that any discussion of alternative energy should not be limited to alternative ways to generate electricity.

Solar thermal energy is a technology for harnessing thermal energy for direct use in its natural state to heat domestic hot water, heat space and cool spaces. These three uses of energy comprise 59% of all US energy consumption for commercial buildings. When residential buildings are also considered; the percentage of consumption percentage approaches 70% of all energy consumption for the same three applications. Thus, STE readily addresses the largest uses of energy in the US.

Market Size

The tables below provide information on the total US energy market.

As demonstrated, the total market is greater than 29.1 Trillion kwh of energy. On a national average of approximately $0.11 per kwh this represents a dollar value of $ 2.91 Trillion. Of course, STE cannot address all energy needs. The DOE further identifies energy usage by type of user, these segments are identified below.

Considering the size of the market, FWE has determined that our immediate focus will be on the commercial sector, representing 19% of the overall market of a $ 553 B total market. Of course, solar thermal energy cannot address the total market, only 59% of this market or nationally, a $ 326 B market opportunity. This uses of energy in the commercial segment are as follows;

Go To Market Strategy

FutureWorld is pursuing a Three Level market approach, starting with solar thermal energy for hot water. This will achieve several objectives. FWE will become a brand name for alternative energy and will ease the market entry.

During Level one the company will offer solar thermal energy for hot water. Engineering will be a part of our services in all 3 levels.

Level two will add geothermal energy to the mix of products. This will give FWE a wider product range where each type can be used to its fullest advantage. In this combination solar cooling and solar dehumidification are possible.

Level three cogeneration units will be introduced as well. Then we will have a full array of products which can be used on all type of buildings starting with a single family home to a public building like a hospital or school.

Also in level three our own products optimized for the US markets will be developed and produced. One of the core products will be an integrated unit containing an absorption chiller with ice storage for commercial and residential buildings in the sun belt of the USA.

Competition

FWE’s second go to market strategy is to create and position FWE as a brand, training source and product source for STE technology. To accomplish this, FWE is in the beginning phases of developing the infrastructure for a distribution entity. This infrastructure will be a significant use of the capital being raised, to develop tools, technology, training and staff to support this channel. Once funded, FWE will aggressively move forward with this key component of our long
term revenue strategy.

There are no real competitors for FWE, at least not in the local market and competition is very limited on a national basis. The market demand, however, for renewable energy is growing at a dramatic rate. At the fall 2009 Solar Industry Exposition in Los Angeles, CA, 99% plus of the show was about PV solar, with less than 1% focused on solar thermal energy. The reason for this is simple, ready demand is for PV fueled by government incentives supporting the industry through grants, tax breaks, and legislative mandates for electric companies to purchase power generated by renewable means. Fortunately, solar thermal also qualifies for most of these incentives, but unfortunately, not all. However, when comparing an FWE solar thermal system vs. any competitors PV system, it becomes obvious that even with different levels of government support, FWE’s payback is typically faster and over the same 20 year projected savings from the energy produced by the system, FWE’s solar thermal solution saves customers typically 10:1 or greater. Thus, our competition is the uneducated, unknowing consumer, who does not do their homework and fails to understand that when purchasing a PV system, they will get a system that produces some energy, just not enough energy to make a difference.

Competition can also come in other various forms, i.e., wind, bio-fuel and other technologies. The response to these is that in the right situation a given alternative energy may makes sense, but the best solution is usage based. If there is a need to provide lights for a road sign on a rural highway, then PV is the best solution. If one is in an area with strong, sustained winds during peak demand daytime hours, then wind may be the best alternative. However, if one’s need is for heating domestic hot water, heating space or cooling space, then our solar thermal solution has no real competition.
