Aquamer Acquires Urban Agricultural Corp. to Revolutionize Farming
Aquamer Medical Corp. (OTCBB: AQUM) today announced the acquisition of Urban Agricultural Corp. ("Urban Ag"), a privately owned company. Under the terms of the agreement, Aquamer will acquire 100 percent of the common shares of Urban Ag in exchange for 60,000,002 shares of Aquamer common stock. This stock-for-stock exchange is intended to be a tax-free transaction.
Urban Ag currently holds an exclusive license for the Commonwealth of Massachusetts and has right of first refusal to purchase exclusive licenses for New Jersey, Pennsylvania and California from TerraSphere Systems, LLC ("TerraSphere") a leader in designing and building highly efficient systems for growing fruits and vegetables in controlled, indoor environments. With this acquisition, Aquamer intends to refocus its corporate energies and to rapidly expand Urban Ag's business of urban indoor farming, the environmentally friendly and sustainable urban production of healthy agricultural products under highly controlled, indoor conditions using advanced techniques and processes. Under the terms of the license for Massachusetts, Urban Ag is obligated to pay TerraSphere a non-refundable, non-creditable license fee of $1,000,000 over twelve months ($250,000 of which has been paid) and a mid-single digit royalty on sales of produce grown with the use of TerraSphere technology (with a specified minimum annual royalty of between $60,000 and $78,000 over the life of the license). The term of the license is for the greater of 15 years or the life of the TerraSphere patents. If Urban Ag expands its operations in Massachusetts beyond certain levels, additional license fees may become payable to TerraSphere.
Concurrent with the closing, Richard Falcone has resigned as Chief Executive Officer of Aquamer and is being replaced by Edwin A. Reilly who has been appointed Chief Executive Officer and Director. Michael J. Mahoney has been appointed as President and Director of Aquamer, and James A. Shanahan has been appointed its Chief Financial Officer. Marshall Sterman will remain Chairman of the Board.

Urban Agricultural Corp., utilizing the patent protected TerraSphere Systems LLC technology, has a clear competitive advantage over traditional growth methods, the most important of which is its ability to generate significantly larger yields per square foot of floor space. The technology consists of carousels that contain ten to twenty levels with rows of plants in specially designed growing trays under a light source. Irrigation is supplied to the roots by a low pressure misting system. The result is an abundance of plants with strong, compact growth. The technology can be used to grow numerous different types of crops, from lettuce to tree seedlings to rare medicinal herbs. The following is a brief overview of how the technology works and its advantages over other growth technologies.
Overview of the Technology
Carousels- Each carousel holds ten to twenty levels with rows of plants in specially designed growing trays under a light source. The standard carousel is approximately 25 feet tall, the height of a typical commercial building, but they are vertically expandable to suit almost any site. The power connections, irrigation lines, valves, and computer interface connections are affixed to the main structure of the carousel leaving the lighting fixtures, tray support frame and plastic containment trays to collapse efficiently on top of each other for easy removal and cleaning. Each carousel has its own drum and cable assembly for raising and lowering the machine. All the carousels share a single removable drive motor and reducing gearbox. The carousels are made of steel, stainless steel, aluminum, and various other common materials.
Trays- The plastic containment trays and the interior growing trays in which the crops are grown are a reusable plastic injection molded unit. The growth trays are capable of injecting water directly into the root zone of each growing unit at 0.85 microns.
Facilities - A typical facility might be six rows of four carousels with ten to twenty levels on each, for a total of up to 480 levels. In total, such a facility would require an 8,000 square foot building, with 4,000 square feet for farming, 1,200 square feet for a cooler, and the remainder for offices, seeding and germination areas, storage and work space.
Advantages Over Traditional Growth Methods
Greatly Increased Productivity-
The difference in productivity between growing in cubic feet versus square feet is considerable and gives this new technology a clear competitive advantage. For example, in a traditional greenhouse, Cornell University currently grows 11.5 lbs of spinach per sq. ft. per year. We can grow 80 to 100 lbs per sq. ft. per year.
